1. Introduction
Welcome to Cheap Websites Melbourne (“we,” “us,” “our,” “the Company”). By engaging our services, you (“the Client,” “you,” “your”) agree to be bound by the following Terms and Conditions (“Terms”). These Terms constitute a legally binding agreement between you and Cheap Websites Melbourne. Please read them carefully.
2. Our Services
We provide web design, web development, website maintenance, search engine optimisation (SEO), and related digital services (the “Services”). All work is undertaken based on the specifications and requirements agreed upon in the project proposal, quote, or statement of work (“Project Agreement”).
3. Client Responsibilities
The Client agrees to:
- Provide all necessary content (text, images, logos, videos, etc.) in a timely manner and in the formats we request.
- Provide clear feedback and approvals at designated stages of the project.
- Appoint a single point of contact for all project communication to avoid delays and confusion.
- Secure any necessary licenses, permissions, and copyrights for materials supplied to us.
- Review all work provided and notify us of any errors or required changes within the agreed revision periods.
4. Project Process & Timeline
- Quotes: Quotes are valid for 30 days from the date of issue.
- Project Commencement: A project will commence upon receipt of the signed Project Agreement and the required initial deposit.
- Timelines: We will make every reasonable effort to meet the proposed timeline. However, any timeline is contingent upon the Client providing all required materials, content, and feedback in a timely manner. Delays caused by the Client will result in an extension of the project timeline.
- Staging Environment: The website will be developed on a temporary URL (staging environment). The final website will be transferred to the Client’s live domain only upon receipt of full payment.
5. Revisions & Scope Changes
Our quotes include a set number of revision rounds (e.g., two rounds of revisions on the design mock-up, two rounds on the developed site) as detailed in the Project Agreement.
Additional revisions or significant changes to the agreed scope (“Scope Creep”) will be charged for website design starting price is [$399 AUD] or via a new quoted amount. Work on Scope Creep will only begin once the Client has approved the additional quote.
6. Pricing & Payment Terms
- Currency: All prices are in Australian Dollars (AUD).
- Deposit: A non-refundable deposit of 50% of the total project fee is required to begin work.
- Milestone Payments: For larger projects, progress payments may be required at key milestones (e.g., upon design approval).
- Final Payment: The remaining balance is due in full upon completion of the website, prior to it going live or the source files being delivered.
- Payment Methods: Payment can be made via bank transfer or other methods as specified on our invoice.
- Overdue Invoices: Invoices not paid by their due date will incur a late fee of 1.5% per month (18% per annum) on the outstanding balance.
7. Intellectual Property (IP)
- Client Materials: The Client retains ownership of all logos, graphics, content, and other intellectual property they provide to us.
- Third-Party Materials: The Client is responsible for licensing any third-party materials (e.g., stock photos, fonts, plugins) used in their project. We can source these on the Client’s behalf, but the cost and responsibility for licensing remain with the Client.
- Our Work: Upon receipt of full and final payment, the Client is granted a license to use the final delivered website design and code for its intended purpose. Cheap Websites Melbourne retains the right to display the completed work in our portfolio and marketing materials.
- Background IP: We retain ownership of all proprietary tools, frameworks, code snippets, and pre-existing knowledge (“Background IP”) used to create your website.
8. Website Hosting & Domains
The Client is responsible for purchasing and maintaining their own domain name and hosting service.
We can recommend hosting providers but are not responsible for the performance, security, or downtime of third-party hosting services.
If we manage hosting on the Client’s behalf, a separate hosting and maintenance agreement will apply.
9. Warranties & Limitations
- We warrant that our Services will be performed in a professional and workmanlike manner.
- We do not guarantee that the functions contained in the web pages or the website will be uninterrupted or error-free. The entire risk as to the quality and performance of the website is with the Client.
- We are not responsible for any changes made to the website by the Client or a third-party after handover that cause issues or errors.
- To the fullest extent permitted by Australian law, our total liability to you for any claim is limited to the amount paid by you for the Services.
10. Australian Consumer Law (ACL)
Our Services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or to compensation for its reduced value.
You are also entitled to have the services rectified or resupplied if they fail to be of acceptable quality. This clause is subject to your rights under the ACL.
11. Termination
- Either party may terminate this agreement with written notice if the other party materially breaches these Terms and fails to cure that breach within 14 days of written notice.
- Upon termination by the Client for any reason, the Client must pay us for all work completed up to the termination date at our standard hourly rate. The initial deposit is non-refundable.
- Upon termination, all licenses granted by us are revoked, and the Client must cease using any delivered work.
12. Search Engine Optimisation (SEO)
- We cannot guarantee specific search engine rankings or results, as these are determined by third-party algorithms (e.g., Google) that are outside our control.
- SEO is an ongoing process and results may take several months to become apparent.
13. Confidentiality
Both parties agree to hold each other’s confidential information in strict confidence and not to disclose it to any third parties or use it for any purpose other than the performance of this agreement.
14. Governing Law
These Terms are governed by the laws of the State of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria.
15. Acceptance
By making a payment, signing our Project Agreement, or otherwise engaging our services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
